FH Marketing Solutions Ltd T/A Frank’s House – Full Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of all services, memberships, cards and benefits provided by FH Marketing Solutions Ltd (Company No. 12870272), trading as Frank’s House (“we,” “us,” or “our”).
By using our platform, you agree to these Terms in full. If you do not agree, you must refrain from using our services.
1. Definitions
Member:
A UK-registered business that subscribes to our services and is authorised to use the FH platform.
FH Credit:
Non-transferable digital credit allocated to Members, redeemable only as set out in these Terms.
Card:
A prepaid business card provided in connection with the FH platform (where available).
Account:
A digital profile representing the Member’s details, activity, balances and history within the FH platform.
Eligible FH Spend:
Invoices and payments made to FH for standard FH services under a valid membership or service agreement, excluding discounted promotions, third-party products or any spend outside the FH framework.
2. Eligibility and Onboarding
2.1 Membership is available only to UK-registered businesses with valid company details.
2.2 The individual applying must be authorised to act on behalf of the business.
2.3 We may approve or reject any application at our sole discretion.
2.4 Providing false, inaccurate or misleading information may result in immediate suspension or cancellation of membership.
3. Membership Fees and Payment
3.1 Fees apply according to the services and membership tier selected.
3.2 Fees may include access charges, one-off payments, or recurring monthly, quarterly or annual subscriptions.
3.3 Invoices must be paid on time to maintain access. FH may suspend or cancel services if payment is overdue.
3.4 FH may amend pricing from time to time. Continued use after publication of updated pricing constitutes acceptance.
3.5 Where FH Credit has been redeemed onto a Member’s business card, FH may adjust access or deduct FH Credit if the Member breaches these Terms.
4. FH Credit Programme
4.1 FH Credit may be allocated on eligible FH Spend as part of the FH service offering. Allocation levels may vary and are subject to change at FH’s discretion.
4.2 FH Credit may be redeemed toward selected FH services, including marketing, business support, consultancy and concierge tasks.
4.3 Where available, Members may request to redeem FH Credit onto a prepaid business card for appropriate business-related purchases.
4.4 FH Credit has no cash value, is not exchangeable for money and remains the property of FH Marketing Solutions Ltd until redeemed.
4.5 The FH Credit Programme is intended solely to support Members’ business activity and must not be used to obtain personal or cash-equivalent benefits.
4.6 FH may amend, suspend or withdraw the FH Credit Programme, including the methods of earning or redemption, with reasonable notice.
4.7 FH Credit may expire after periods of inactivity or upon programme closure, as described in Clause 15.
5. Prepaid Business Card
5.1 The prepaid card is provided as a business spending tool, where available.
5.2 Members are fully responsible for ensuring all card use is appropriate to their business and correctly recorded in their accounts.
5.3 FH does not monitor, supervise or classify a Member’s spending activity.
5.4 The card is governed by separate terms issued by the card provider. Use of the card constitutes acceptance of those terms.
5.5 FH is not liable for any card-related issues including merchant refusal, card loss, delayed replacement, system outages or discrepancies caused by the card provider.
6. Security and Authorised Access
6.1 Members must keep all login credentials secure.
6.2 Members may nominate a representative to manage their Account, provided this is confirmed in writing.
6.3 FH accepts no responsibility for unauthorised activity arising from a Member’s failure to keep credentials secure.
7. Tax and Accounting Responsibility
7.1 FH does not provide tax, accounting or financial advice.
7.2 FH Credit and any card spending may carry tax or accounting implications depending on the Member’s circumstances.
7.3 Members are solely responsible for determining, reporting and meeting any tax obligations relating to their use of FH services, FH Credit or the prepaid card.
7.4 Members agree to indemnify FH against any claims, penalties, losses or costs arising from their failure to comply with tax, accounting or reporting obligations.
7.5 FH is not responsible for how Members categorise or record card transactions within their accounts.
8. Suspension and Termination
8.1 FH may suspend or terminate membership immediately if:
– fees remain unpaid,
– FH Credit or the card is misused,
– false information is provided, or
– abusive or inappropriate behaviour is directed toward FH staff.
8.2 Upon termination, any remaining FH Credit may be forfeited.
8.3 Members may cancel their membership at any time by written notice. Any remaining FH Credit may be used until the Member’s access to the FH platform ends. FH does not issue refunds for unused credit or any remaining membership time.
9. System Availability and Updates
9.1 FH aims to provide reliable access but does not guarantee uninterrupted availability.
9.2 Maintenance, improvements or unexpected issues may result in temporary downtime.
10. Limitation of Liability
10.1 FH accepts no liability for:
– business losses including loss of profits, income, revenue, contracts, data or goodwill,
– indirect, special or consequential losses or damages,
– losses arising from Member negligence or misuse of FH Credit or the card,
– delays or service issues caused by third parties,
– disruptions arising from force majeure events.
10.2 Our liability is limited to the fullest extent permitted under UK law.
11. Intellectual Property
11.1 All content, branding, designs, software and materials are owned by FH Marketing Solutions Ltd.
11.2 Members may not copy, reproduce or distribute FH materials without written permission.
12. Data and Privacy
12.1 All data is processed in accordance with our Privacy Policy.
12.2 Members must ensure that all information provided is accurate and up to date.
13. Amendments to These Terms
13.1 FH may amend these Terms at any time.
13.2 The most recent version of these Terms will always be available on the FH website and applies to all Members.
13.3 Continued use of FH services constitutes acceptance.
14. Governing Law and Disputes
14.1 These Terms are governed by the laws of England and Wales.
14.2 Any disputes shall be resolved exclusively in the courts of England and Wales.
15. Discontinuation or Closure of FH Services or the FH Credit Programme
15.1 FH may discontinue the FH Credit Programme or any membership offering at its discretion.
15.2 Where possible, FH will provide Members with a notice period to redeem any remaining FH Credit.
15.3 Upon closure of the Programme or the shutdown of FH operations, Members will be given a period to redeem any remaining FH Credit. Any credit not redeemed within the specified timeframe will expire automatically.
15.4 Membership fees are non-refundable in the event of programme changes, suspension or closure.
15.5 In the event of business closure, restructuring or liquidation, memberships may end immediately and FH will not be liable for any losses or refunds.

All notices under these Terms must be submitted in writing via email.
These Terms supersede all previous versions and constitute the entire agreement between FH Marketing Solutions Ltd and the Member regarding the use of FH services and the FH platform.
